Terms of Service

Welcome to Cynsus, a private membership community dedicated to empowering diverse founders, with an emphasis on the Black community, by connecting them to capital, mentorship, and resources outside of traditional venture capital networks. Subject to all applicable laws, these Terms of Service (the "Terms"), including our Privacy Policy, Membership Code of Conduct, and Membership FAQ, each of which are incorporated herein by reference (links below), govern your access and use of the services and benefits offered by Cynsus (“we,” “us,” or “our”). This includes our website, online platform, events, speaker presentations, newsletters, and any other products or features we may provide (collectively, the "Services"). By registering, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Registration and Account Creation
To access and use the Services, you must first complete a membership application and submit it for review. We reserve the right to accept or reject any membership application at our sole discretion without obligation to provide reasons. Upon approval, you will be invited to create an account (“Account”) with a username and password. You are responsible for maintaining the confidentiality of your Account and all activities conducted under it. Notify us immediately of unauthorized access or use. You must provide accurate, complete, and current information during registration and update it as necessary. Sharing your Account or using another person’s Account is prohibited.
Access and Use of the Services
Upon approval and payment of applicable membership fees, Cynsus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal and professional development purposes. You agree not to: Copy, modify, or distribute Services content without our consent. Engage in illegal, harmful, or objectionable conduct as determined by Cynsus. Interfere with or disrupt the functionality of the Services. Use automated means (e.g., bots) to access the Services. Failure to comply with these Terms may result in suspension or termination of access.
Membership Fees
Membership fees (“Fees”) are billed annually and must be paid in full before accessing the Services. Fees are non-refundable except as required by law or explicitly stated in these Terms. We reserve the right to update Fees with prior notice. Failure to pay Fees may result in suspension or termination of membership.
User Content
The Services may allow you to share content (e.g., posts, comments, or files). By submitting content, you grant Cynsus a non-exclusive, royalty-free, worldwide license to use, reproduce, and display your content for purposes related to the Services. You are responsible for the legality, accuracy, and appropriateness of your content. We reserve the right to remove content that violates these Terms or applicable laws.
Community Code of Conduct
Cynsus is committed to fostering a respectful, inclusive, and supportive community. By using the Services, you agree to: Treat all members with respect and professionalism. Abide by our Membership Code of Conduct. Refrain from harassing, abusive, or discriminatory behavior. Violations of the Code of Conduct may result in suspension or termination of membership.
Data and Privacy
We value your privacy and handle personal data per our Privacy Policy. By using the Services, you consent to the collection and use of your information as described therein.
Intellectual Property
All content, logos, and materials provided through the Services are the property of Cynsus or its licensors. You may not use, reproduce, or distribute any such content without prior written consent, except as permitted under these Terms.
Third-Party Tools and Links
The Services may include tools or links provided by third parties. Cynsus is not responsible for the content or practices of these third-party providers. Review their terms and privacy policies before use.
Suspension and Termination
Cynsus reserves the right to suspend or terminate your access to the Services for violations of these Terms or other reasons at our sole discretion. Pro-rata refunds may apply only in cases where termination is not due to member misconduct.
Limitation of Liability
To the fullest extent permitted by law, Cynsus is not liable for indirect, incidental, or consequential damages arising from the use of the Services. Our total liability is limited to the amount of Fees paid in the three months preceding a claim.
Indemnity
You agree to indemnify Cynsus against claims, damages, or liabilities arising from your use of the Services or violation of these Terms.
General Provisions
Governing Law: These Terms are governed by the laws of [Your Jurisdiction]. Modification: We may update these Terms with notice. Continued use of the Services constitutes acceptance of revised Terms. Severability: If any provision is found invalid, the remaining provisions remain in effect.
